Professional services begin upon the signing of an engagement letter, which confirms the scope, fees, and responsibilities of both parties. The engagement letter takes precedence over these Terms where there is a conflict. Submission of the contact form on our website constitutes an enquiry only and does not create a service relationship.

All content on the Caribou Counts website — including text, design, graphics, and underlying code — is the property of Caribou Counts and is protected under applicable Canadian intellectual property law. You may not reproduce, distribute, or use any Content for commercial purposes without our prior written consent.

Documents and reports we prepare for you as part of a service engagement are for your personal or business use only. You may not distribute them as professional advice to third parties.

7. Payment Terms

Fees for services are as stated on our website and confirmed in the engagement letter. All amounts are in Canadian dollars (CAD) and are subject to applicable GST. Payment methods and schedule are confirmed in each engagement letter. Invoices not paid within 30 days of the due date may be subject to a late payment fee as specified in the engagement letter. We reserve the right to suspend services where invoices remain outstanding beyond 60 days.

Bookkeeping Essentials

This service operates on a month-to-month basis unless otherwise stated in the engagement letter. Either party may discontinue the arrangement with 30 days' written notice. Fees are due at the beginning of each service month.

Corporate Tax Return & Compliance Filing

This service is scoped per filing period. The fee covers the preparation and submission of the T2 return, supporting schedules, and HST/GST return for one fiscal year. Additional periods are quoted separately. Changes to the scope following the commencement of preparation may result in an adjusted fee.

Year-Round Tax Strategy & Wealth Structuring

This is an annual advisory engagement. Two formal advisory sessions and quarterly check-ins are scheduled at the outset of each year. Unused sessions do not carry over. The engagement may be renewed annually by mutual agreement.

Our services are provided based on the information you supply and the applicable laws in effect at the time of the engagement. While we work with care and apply professional judgment, we do not offer any assurance as to specific financial outcomes or tax results. Tax laws and CRA interpretations are subject to change; we cannot be held responsible for changes that occur after the completion of work.

10. Limitation of Liability

To the fullest extent permitted by British Columbia and Canadian law, Caribou Counts shall not be liable for any indirect, incidental, or consequential damages arising from your use of our website or services. Our total liability in connection with any professional engagement is limited to the fees paid for the specific service giving rise to the claim, in the twelve months preceding the event.

Nothing in these Terms limits liability for fraud, gross negligence, or any other matter that cannot be limited by law.

You agree to indemnify and hold harmless Caribou Counts, its principals, and staff from any claims, losses, or expenses — including reasonable legal fees — arising from your breach of these Terms, the provision of inaccurate information to us, or any unauthorized use of our website or services.

Either party may terminate a service engagement in accordance with the notice provisions in the engagement letter. We reserve the right to terminate or suspend access to our website or services without notice where there is reason to believe these Terms have been materially breached. Provisions of these Terms that by their nature should survive termination — including intellectual property, limitation of liability, and indemnification — shall continue to apply.

We encourage any concerns to be raised directly with us first. Most issues can be resolved informally through open communication. If a dispute cannot be resolved informally, it shall be submitted to mediation in Vancouver, British Columbia, before any legal proceedings are commenced.

These Terms are governed by the laws of the Province of British Columbia and the applicable laws of Canada. Any legal proceedings shall be conducted in the courts of British Columbia.
